Q. Do you require the successful contractor to install and operate encoding facilities within your premises, the alternative being encoding in the cloud or a hybrid model? If multi-format encoding is carried out offsite, to increase upload speeds is S4C able to create a single "mezzanine" encoded file (say, at 5-10 Mbps) with equipment outside of the scope of this contract, rather than the uncompressed version used for play out?
A. We would prefer to provide a master file (suitable mezzanine level to be agreed) to the successful contractor and then for all final delivery versions to be created off site by the contractor.
Q. Within the tender document, there is reference to live streaming. Will S4C provide the live streaming encoders outside of this contract, and be responsible for delivering the appropriate live streams to the CDN? Or alternatively, is the successful tenderer responsible for providing live encoders within S4C's premises (and if so, are there any requirements such as a redundant pair, SDI input etc)?
A. S4C will provide the live streaming encoders outside of this contract, and be responsible for delivering the appropriate live streams to the CDN.
Q. Is it a correct interpretation to make, that any uploading of files (or delivery of live streams), shall be on internet circuits owned by S4C and any quality issues (in the incoming live stream/s to our CDN) or delays (inuploading source files) shall not impact on any SLAs provided by the successful tenderer?
A. Yes, this is a correct interpretation.
Q. Does S4C expect to use the live publishing points for regular or sustained periods of programming and, if so, can you provide some examples?
A. Yes both - a live publishing point is used to simulcast the transmission output. The encoder runs 24x7, but the demand fluctuates in line with the popularity of the programme being TX'ed. Occasionally we will provide an additional stream during special events such as eisteddfod, sporting events etc. (<4 times per annum). These are either long duration over approx. 1 week (e.g. Royal Welsh Show), or 2 hr instance (e.g. football match)
Q. Are the VOD services shown as CF99 and Taro 0 ever replaced by live feeds and, if so, how often and for what period?
A. CF99 and Taro 9 are available as simulcast tx and VOD.
Q. Can S4C confirm that it will take responsibility for recording live feeds for use as subsequent catch-up video files?
A. Yes, we can confirm this.
Q. Can S4C confirm what provision, if any, needs to be made for subtitles on live feeds and/or VOD files?
A. There is no current provision for subtitling on live feeds. VOD streams are available with up to 2 subtitle options (English and/or Welsh). Approx. 80% of VOD programmes have at least one subtitle option.

S4C is the public service broadcaster providing Welsh language programmes in Wales and across the UK. Programmes are broadcast from our headquarters at Llanishen in Cardiff.
We are planning some modifications to our technical block at Llanishen. Phases 1 and 2 are complete and we now wish to invite tenders for Phase 3, which comprises parallel implementation of building alterations and mechanical and electrical upgrades. Building work includes interior elements (walls, floors and ceilings) and the mechanical and electrical work includes modifications to existing systems, new cooling and lighting installations.
Separate tenders will be invited for each type of work. Tenderers may bid for one or both contracts.
The value of the building work is estimated to be about £120k with HVAC and electrical works accounting for about £180k.
Companies who wish to tender must complete a pre-qualification questionnaire for one or both contracts by 5pm on 15th October 2010. Submission instructions and details of the evaluation methodology are provided in the questionnaire. Any requests for additional information or guidance must be submitted by 5pm on 11th October 2010.
Short listed applicants will be issued with an invitation to tender. We anticipate inviting about 5 companies to bid for each contract. These two tenders can be awarded to one bidder or two. In the first case it is not an issue. In the second we foresee the building contractor being the lead contractor. However as we do not know who the winning bidders will be, we reserve our options at this stage.

Yes we will have finished building and the M&E schemes to issue to the short listed candidates. However the M&E element will be offered contractually as a design and build to ensure involvement from the M&E supplier. This is primarily to ensure that buy in is achieved to ensure a successful installation.

It is expected that the following are cleaned as part of the 6 monthly deep clean in the kitchen:-
Vinyl Floor, hand wash sinks and taps, tiled walls, food waste/recycling bins, fly screens, window sills, doors (paintwork, glass and foot plates) paper towel dispensers, notice boards, rubber safety mat, door mat, gas range, combi ovens x2 and ceiling tiles.
Please note in paragraph 1.10.1 of Schedule 1 of the draft agreement reference to paragraph 2.2.12 should read 2.2.16.
Further, in addition to the 6 monthly deep cleaning provisions there is provision at paragraph 1.5.2 of Schedule 1 of the agreement for S4C to request the successful Company to undertake cleaning on an ad hoc basis of specified parts of the premises within [8 hours] from the time of such a request. The details and specification of such a deep clean/ ad hoc cleaning to be provided by S4C to the successful Company with the cost of such a deep clean/ ad hoc cleaning to be agreed between the parties prior to commencement of the work. 1. The number of blinds in situ of white metal blinds and polyester fibre blinds.
A. There are approximately 130 blinds. This could change after the refurbishment.
2. The air vents that require dusting on a 6 monthly basis, can they be reached from the ground with a feather duster or back pac vacuum or if they are higher.
A. These can be reached with a telescopic duster.
3. We would like to arrange for a site visit in order to quote for the deep clean of the kitchen. Could you confirm if this is possible and I will make arrangements and get back to you with the time and date of the visit.
A. Unfortunetely, it will not be possible to arrange another site visit in order to quote for a kitchen deep clean. Please see answer to question 4 above.

A. Please proceed to submit a commercial quote. For the purpose of providing details of your fee for the service, please disregard any potential TUPE costs. TUPE information will only be provided to the successful tenderer. The successful tenderer will then be given the opportunity to re-visit the price in light of the TUPE information.
Capital Law has won in open competition S4C's tender to provide a policy and employment service framework for the independent sector.
The two-year contract will ensure that independent production companies get support so as to conform with S4C's policy and rights requirements, and ensure fair and reasonable work conditions for the sector as a whole.
Elin Pinnell, a Partner with Capital Law who heads up the firm's employment team said, "Capital Law fully supports S4C's aim of providing a fair working environment for employees of the independent production sector and we look forward to working on this new contract." The Invitation to Tender (paragraph 1.6.3) notes the requirement to present 'Written evidence of support for the applicant so that the body is able to be representative of all production companies'.
a) Do we need to present evidence of support from all of the production companies?
b) Does the written evidence need to say that they are happy that we represent that company?
Response 1:
a) S4C has noted clearly in paragraph 1.3 that it expects the successful applicant to 'provide a service that is representative for all production companies'. The assessment criteria for awarding the contract include an assessment of the ability of the proposed service to be a 'Representative service for the production companies commissioned by S4C'. Applicants are encouraged to try to ensure the support of all production companies.
b) Production companies need to confirm their support for the applicant, and note their satisfaction of the applicant's ability to meet their own and S4C's requirements for such a service.
Question 2:
We note that a total of 47 companies are currently listed as TAC members. Can you please provide an estimate of the number of independent production companies involved with the service and the total number of employees? Are you able to give an estimate of the number of contractors/contributors employed by the independent production companies?
Response 2:
The number of production companies that are commissioned by S4C annually is around 34. Some of these are group companies. The actual number of companies varies on an annual basis but the total has been relatively consistent since 2002. The companies supplying S4C with content can be members of TAC and/or PACT.

The tender does not touch on contentious matters. Can you please confirm whether the service will include legal representation?
Response 3:
It is intended that the service provides a pro active framework supporting and advising the sector in their activities - including setting up and supporting dispute resolution procedures. However it is not intended that any legal costs associated with such a procedure is included in this contract. Such costs would be a matter for each individual production company.
Question 4:
If a new applicant is awarded the tender, will they have any right in a new service to use materials currently provided by TAC under their current contract? If so, what arrangements will apply to enable a new contractor to access these materials.
Response 4:
The talent union agreements have recently been re negotiated to take into consideration the cessation of the analogue service in Wales. The new rights regimes will be reflected in these agreements.
If a new applicant is awarded the contract arrangements will need to be confirmed for the continuing administration of the contract with the unions. We would also consider the requirement for a transition period to facilitate the transfer of arrangements and responsibilities.
Question 5:
Can you please confirm that the production companies will be able to show support for more than one applicant?
Response 5:
It has already been noted that applicants should try and ensure the support of all production companies. We have not assumed that the support would be exclusive to one applicant. However, we have assumed that the companies would offer their support only in situations where they are satisfied of the applicant ability to meet their own and S4C's requirements for such a service.

For due diligence purposes, please give details of the present service provider’s personnel, including number of staff, age, date of commencement of employment, number of years of continuous employment, salary and other benefits, notice periods and other relevant terms.

The current contract expires on the 31/12/2009. The service provision being tendered differs in scope, and the contract is considerably lower in value.
As noted in section 3.9 of the tender document, the question of whether TUPE is applicable or not is a legal matter, and applicants will have to consider and seek their own advice. For information only, we understand that a total of three full time members of staff are employed by the organisation.
All applicants should note all assumptions made in relation to costs of any staff transferring, so that S4C are clear about the basis of the bid. We retain the right to contact any applicant with questions that we may have associated with such information / notes.

We have a question about the qualitative research ITT. We understand that you do not yet know what audiences you will need to speak to for the research, but we were hoping you could tell us about other studies you have done that we can use for guidance. Specifically:

What was the most easy to reach audience? That is, which was the easiest to find from a recruiting perspective?
Answer 1:
Finding viewers/non-rejectors of quiz programmes (on any channels) - Welsh Speakers.
Question 2:
What was the most difficult to reach audience? That is, which was the most difficult to find from a recruiting perspective?
Answer 2:
Finding analogue-only TV homes, who are viewers of Welsh language programmes on S4C, and intending to switch to Digital Terrestrial Television post Digital Switchover.
Question 3:
Are you able to provide examples of the issues/topics that have been discussed by focus groups that have been held in the past? Also, can you say where these focus groups have been held?
Answer 3:
Recent issues include showing pilot TV programmes, consumer testing of websites, particular sports programmes, looking at particular programme genres & audience needs. Locations all over Wales are visited - Cardiff, Swansea, Lampeter, Pontypridd, Bangor, Abergele, Pwllheli, Ruthin, Aberystwyth, Carmarthen, Ystalyfera to name but a few recent locations.
Question 4:
The ITT mentions 15 focus groups to take place in a year. Are you able to give an indication of how many of these focus groups will need to take place in a 'set'? In other words, do you expect the 15 to be split into 5 sets of 3 focus groups across Wales or similar?
Answer 4:
Flexibility is a requirement here, as noted in the tender document. At the moment we are commissioning 11 such groups in sets of 2 & 1 across the next few months. At other times the sets may be 3, 4 or more.

Will you require all focus groups to be fully transcribed?
Answer 5:
You are expected to maintain records of the discussion - these may be audio-only or transcribed.
Question 6:
You mention 'viewing groups' of up to 20 people - from time to time. Do you expect us to provide viewing / screening facilities alongside the focus group session?

You would be expected to arrange viewing and screening facilities but if these come at extra cost you may note this.
Question 7:
You mention that occasionally 'viewing groups' take place outside of Wales, which countries or regions do you foresee?
Answer 7:
This is unlikely to happen very often, regions might include eg London or Border areas (Wales/England).
Question 8:
Do you anticipate holding variations of the focus groups for both first language Welsh speakers and learners? Also can we break the focus groups down into age, gender, social status, etc... a cluster approach, as is required, or are you looking to have a strata approach in each focus group?
Answer 8:
Every project has different needs, but a typical scenario is that eg if would require, say 6 groups, the distribution might be 2 in South Wales, 2 in West & Mid Wales & 2 in North Wales. These would usually be demographically matched, ie one group in each region might be 16-34's, a range of social class, and viewers of a particular programme. The other group in each region may be 35+ years old, a range of social class, and viewers of the same programme. We may need lapsed viewers of a programme, or any other criteria.
We may require Welsh Speakers to be learners for some projects, we may require non Welsh speakers. We may also specify fluency levels.

Can we assume that there will only be one group in each location for each set of focus groups?
Answer 9:
Not necessarily, as the requirements will vary by project. If you wish to cost on this basis, please do so and note if there is a cost saving if more than one group is held in each location.

When recruiting groups what would be the definition of a Welsh speaker - would it be in line with BARB?

The definition may be in line with BARB definitions or a simple definition of conversational Welsh, depending on the needs of each project.

When running groups would the language the group is conducted in be driven by the majority or should all participants be free to interchange?

Most groups are held in Welsh with Welsh speakers of varying fluency levels, and a smaller number of groups are conducted among Non-Welsh speakers. These are usually separate groups.

Can you tell us about the key stakeholders and their needs, for example would groups be used for concept testing, sales cases or market evaluation?

Answer 1:
Applicants may recreate the Application Form but it is the responsibility of the Applicant to ensure that all requested information is included under the relevant headings. A Word document of the Application Form is available on request, however as noted above, it is the Applicant's responsibility to ensure that all information is submitted. If a Word version of the Application Form is created or completed, Applicants should ensure that the Declaration at the end of the Form is signed and that the complete Application Form is scanned and sent to S4C electronically.

Can you please tell me if the applicant name on the PPQ refers to the name of the business or the name of the person applying on behalf of the business?

The applicant name refers to the name of the company.
Question 3:
Can you please provide additional information as to what is meant by the term 'event management' when used in the context of this tender application by S4C. "Applicants must have experience of and expertise in ... event management". Additionally in section H. Quality Assurance of the application form, the questions ends with the term ".... professional delivery and management of the events". Can you clarify if these events are in the same context as the term 'event management' as mentioned above. If not, can you also please clarify what is meant by this phrase.
Answer 3:
S4C's definition would be the overall mangement of an event, including but not limited to, planning and development, staffing, liaising with external bodies, contractual and licensing issues, and the execution of the event. Section H asks for clarification of how the Applicant will ensure quality assurance in relation to the event management (as defined above).

The Viewers' Hotline provides the main point of contact for viewers of S4C, dealing with general queries regarding S4C output and services. The service is managed by S4C's Communications Directorate, the arm responsible for promoting all aspects of S4C. As part of its commitment to engaging with viewers, it is imperative that S4C offers a fully bilingual (Welsh and English languages), professional, informative and courteous service to the public in answering general viewer enquiries.
The service is available between 09:00 and 22:00 daily, 365 days a year. The cost of the calls to viewers must be no more than the standard national rate within the UK. During 2006 12,424 enquiries were received via phone, email, letters or fax.
The services include providing a suitable response to queries via telephone, email and written correspondence. Telephone calls made by the hard of hearing should be dealt with using Minicom. All information and responses given to viewers must correspond to S4C's corporate policies. Other responsibilities include providing reports to S4C regarding enquiries and responses, attendance at public events such as the National Eisteddfod and public meetings with viewers.
"Can the application form be filled by a consortium of companies? If yes, what details are required?"
S4C accepts Application Forms and tender submissions from consortiums. However, if a consortium submits a tender which is acceptable to S4C, S4C may require the consortium to form a legal entity before entering into the contract. Joint and several liability of all consortium members may be required.
If the Applicant is a consortium, separate Application Forms must be completed in respect of each consortium member and S4C must be notified of the lead member of the consortium.
